vinyl over panelboard.

I'm making a panel for the rear package tray in my car and was wondering if I
Can glue the vinyl directly to the panel board or do I need to add foam?

without foam it will look like vinyl over cardboard

Agree with Ogre. Without the foam, any imperfections in the panel will telegraph through the vinyl, foam will help eliminate that.

Most of the original package trays were vinyl over cardboard, or just cardboard, but they were made with brand new cardboard.

Here is a package shelf with vinyl glued to it. I also added a stitch line to give it a finished look. You could also sew binding over the outside edge.
